| Agility would like to announce, that Menzies Aviation, one of its indirect subsidiaries and a wholly owned subsidiary of Agility Global PLC, has signed an agreement to acquire 100% of US-based G2 Secure Staff, an aviation service partner of choice for major airlines across the United States, for an enterprise value consideration of $305m plus a deferred consideration of $10m payable in 2026 and subject to achieving certain agreed upon performance metrics.
This deal strengthens Menzies’ position as the largest aviation services business globally, by number of countries, number of airports and aircraft turns. |

| Impact of the material information on the financial position of the company | Once the transaction is closed which is expected end of Q2 2025 subject to certain regulatory approvals, G2 Secure Staff financials will be consolidated with Menzies’ and this is expected to boost Menzies’ group revenue by 20% to over $3.1 billion, based on FY 2024 revenue figures. Note, this acquisition will be financed by existing external credit facilities extended to subsidiaries of Agility Global. |
